TERMS OF SERVICE

1. Introduction

Welcome to AdDogs, operated by Supermega Design LLC, a company registered in Ukraine (Registration No. 45836864) ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our AI-powered advertisement generation platform available at addogs.ai and any related services (collectively, the "Service").

By creating an account, accessing, or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

AdDogs is an AI-powered platform that generates professional advertisement creatives. Users upload product images and reference advertisements, and our AI creates custom ad designs based on these inputs.

The Service operates on a credit-based subscription model where users receive a monthly allocation of credits to generate advertisements.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.

4. AI-Generated Content Ownership

Your Ownership: As between you and AdDogs, to the extent permitted by applicable law, you own the AI-generated outputs ("Generated Ads") that you create using the Service, subject to the following:

• Non-Uniqueness: Due to the nature of AI technology, outputs may not be unique. Other users may receive similar or identical outputs from similar inputs.
• Copyright Limitations: Whether AI-generated content benefits from copyright protection depends on your local jurisdiction. Currently, many jurisdictions (including the United States) may not provide copyright protection for purely AI-generated works without sufficient human creative input.
• Your Responsibility: You are solely responsible for ensuring that your use of Generated Ads complies with all applicable laws and does not infringe upon third-party rights.

License to AdDogs: You grant AdDogs a non-exclusive, worldwide, royalty-free license to host, display, process, and store your inputs and Generated Ads solely for the purpose of providing and improving the Service.

5. Acceptable Use Policy

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create misleading or deceptive advertising content
• Infringe upon intellectual property rights, including trademarks, copyrights, or publicity rights of others
• Generate content that violates advertising platform policies (Meta, Google, TikTok, etc.)
• Produce adult content, violent imagery, or content promoting illegal products or services
• Attempt to circumvent usage limits, credit systems, or security measures
• Use automated methods to access or scrape the Service
• Reverse engineer, decompile, or attempt to extract the source code of our AI models
• Share account access with unauthorized parties

We reserve the right to suspend or terminate accounts that violate these policies without prior notice.

6. Subscription and Payment

Plans: We offer a free tier and three paid subscription plans:

• Free: 5 one-time credits at $0 (no renewal)
• Basic: 30 credits per month at $12/month
• Pro: 100 credits per month at $33/month
• Ultimate: 212 credits per month at $63/month

Billing: Subscriptions are billed in advance on a monthly or annual basis. Your subscription will automatically renew at the end of each billing period unless cancelled.

Credits: Unused credits do not roll over to the next billing period. Credits reset at the beginning of each billing cycle.

Price Changes: We may modify pricing with at least 30 days' prior notice. Continued use after the effective date constitutes acceptance of new pricing.

7. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will continue to have access to the Service until the end of your current billing period
• No refunds will be provided for the remaining unused portion of your billing period
• Your account will not be charged for subsequent billing periods

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated outputs will be accurate, reliable, or suitable for any particular purpose
• Generated Ads will be unique or free from similarity to other outputs
• The Service will meet your specific requirements or expectations

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADDOG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless AdDogs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your content and inputs provided to the Service
• Your violation of these Terms
• Your violation of any applicable laws or third-party rights
• Any claims related to your use of Generated Ads in advertising campaigns

11. Intellectual Property

The Service, including its design, features, AI models, and underlying technology, is owned by AdDogs and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, trade names, or logos.

You represent and warrant that you have all necessary rights to the content you upload to the Service, including product images, logos, and reference materials.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data
• Provisions that by their nature should survive termination will remain in effect

13. Modifications to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or through the Service. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles.

Dispute Resolution: Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration administered by a mutually agreed arbitration institution, with the arbitration taking place in Kyiv, Ukraine.

Consumer Rights: If you are a consumer in the European Union, United Kingdom, or other jurisdiction with mandatory consumer protection laws, nothing in these Terms affects your statutory rights that cannot be waived or limited by contract. You may also have the right to bring disputes in the courts of your country of residence.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and AdDogs regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
